Terms & Conditions
These terms govern your use of dolatech.co.uk and the services of Dola Tech Limited (Company No. 17163542), registered in England & Wales.
1. Engagement
Each engagement is governed by a separate Statement of Work that takes precedence over conflicting terms here.
2. Fees & payment
Invoices are payable within 14 days. Late payments accrue statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.
3. IP
On full payment, foreground IP created exclusively for the client transfers to the client. Background IP, tools and reusable components remain ours, licensed to you on a perpetual, non-exclusive basis.
4. Warranties
Services performed with reasonable skill and care. No further warranties, express or implied, except those non-excludable by law.
5. Liability
Our aggregate liability is capped at the fees paid by you in the 12 months preceding the claim. We exclude liability for indirect or consequential loss. Nothing limits liability for death, personal injury, fraud or anything that cannot be limited under English law.
6. Confidentiality
Each party keeps the other's confidential information confidential for 5 years from disclosure.
7. Termination
Either party may terminate for material, unremedied breach on 30 days' notice. Fees for work performed remain payable.
8. Governing law
English law. Exclusive jurisdiction: courts of England and Wales.
